Company formation

Set the company up properly, once

Incorporation is the easy part. Getting the structure, the registrations and the bookkeeping right in the correct order is what stops the first year producing problems you then pay to fix.

Anyone can incorporate online in ten minutes. The form asks for decisions – share classes, shareholdings, persons with significant control, the accounting reference date – that are easy to answer badly and expensive to change two years later.

What's included

Everything a new company actually needs

Six things, in the order they have to happen – not a certificate and a list of homework.

Structure decided first

Company or sole trader for your profit level; who owns the shares and in what proportions; whether anyone needs a different class so dividends can be paid flexibly; and an accounting date that suits your trading cycle.

Incorporation at Companies House

Name checked against the index and the sensitive-word lists, memorandum and articles prepared, directors and persons with significant control registered, shares allotted. Normally confirmed within 24 hours.

HMRC registrations

Corporation tax within the three months of trading the rules allow, a UTR for the company and for you, and agent authorisations so we can file on your behalf.

PAYE scheme

Registered as an employer where anyone – including you as a director – will take a salary, with employee records and starter declarations set up and the first payroll run.

Books opened and ready to trade

A QuickBooks file with a chart of accounts built for your trade, bank feed connected, receipt capture live on your phone, and every statutory deadline in a calendar you can see.

Directors’ duties explained

Keeping proper records, filing on time, maintaining the statutory registers, and not paying dividends out of money that is not distributable profit – the one that causes more trouble in small companies than everything else combined.

How it works

Formed and trading in days

Four stages, and we do all of them rather than handing you a to-do list.

1

Agree the structure

Company or sole trader, who holds what, share classes, year end and registered office – the decisions that are expensive to reverse.

2

Incorporate

Name checked, articles prepared, directors and PSCs registered, shares allotted and the application filed at Companies House.

3

Register with HMRC

Corporation tax, UTRs, PAYE where salaries will be paid, VAT where it applies, and agent authorisation throughout.

4

Open the books

QuickBooks configured, bank feed and receipt capture live, first payroll run, and every deadline diarised.

Why it matters

A careless afternoon costs thousands later

A company set up without thought can cost several thousand pounds to restructure two years on – a share split that cannot accommodate a spouse or an investor, a missing corporation tax registration, a year end that fights your trading cycle. None of it is difficult to get right at the start; all of it is expensive to unwind.

  • Formed within 24 hours
  • Every registration handled
  • Structured for the dividends you will want
  • Trading-ready, not just incorporated

our company formation service

Ask us something else

Of course, and plenty of clients do. We will review what was filed and correct anything that needs it – most commonly the share structure and a missing corporation tax or PAYE registration.

You need a UK address that appears on the public register and receives statutory post. Many directors prefer not to use their home for that, and we can provide a registered office so your home address stays off the public record.

It matters far less than who holds them and in what class. A hundred ordinary shares split to reflect real ownership is usually cleaner than one share each, because it leaves room to bring somebody in without a restructure.

The first accounting period runs to the anniversary month end of incorporation and can be up to eighteen months. Accounts are due nine months after the period ends, corporation tax nine months and a day. We diarise all of it at formation.

It depends on profit, risk and intention. Sole trader status is simpler and cheaper and suits low-profit businesses; a company gives limited liability and is usually more tax-efficient once profits are meaningful. We model both against your expected figures rather than guessing.
